Agreement to Terms

Welcome to Cubex Labs! These Terms of Service ("Terms") govern your access to and use of our platform, including our AI-powered agents (PMF Agent, MVP Architect, and Sales & Marketing Agent), website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Definitions

• "Platform" refers to the Cubex Labs web application and all associated services
• "AI Agents" refers to our PMF Agent, MVP Architect, and Sales & Marketing Agent
• "User," "you," and "your" refer to the individual or entity using our Services
• "Content" refers to all data, information, text, and materials submitted to or generated by our platform
• "Subscription" refers to paid access to our Services under a selected plan

Eligibility

You must meet the following requirements to use our Services:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable laws
• Comply with all applicable laws and regulations

By using our Services, you represent and warrant that you meet these eligibility requirements.

Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Protect your account credentials and OTP codes
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account
• Not share your account with others or allow multiple users on a single account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Description of Services

PMF Agent (Product-Market Fit Validation)

Our PMF Agent helps you validate your business ideas through:

• Rapid validation cycles (typically 48 hours)
• Customer signal analysis and ICP identification
• Go/No-Go/Pivot recommendations
• Market research and hypothesis testing

MVP Architect

Our MVP Architect transforms validated insights into product blueprints:

• Low-fidelity prototype design
• Feature prioritization focused on core value
• Technical requirements and architecture guidance
• Cost-optimized development plans

Sales & Marketing Agent

Our Sales & Marketing Agent helps you acquire early customers:

• High-intent lead generation
• Personalized outreach copy
• Firmographics and buying trigger analysis
• Pay-per-lead pricing model

Subscription Plans and Payment

Pricing

Current subscription plans are available at:

• PMF Navigator: $29/month (3 validation cycles, add-ons available)
• MVP Builder: $29/month (prototype development and guidance)
• Early Traction Agent: Pay-per-lead ($29 for 5 leads, $49 for 10 leads, $69 for 15 leads)

Payment Terms

• Subscriptions are billed monthly in advance
• Payments are processed through secure third-party payment processors
• All fees are non-refundable unless otherwise stated
• You authorize us to charge your payment method for all fees incurred
• Failed payments may result in service suspension or termination

Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellations take effect at the end of the current billing period
• No refunds for partial months or unused cycles
• Access to paid features continues until the end of the paid period

Price Changes

We reserve the right to modify our pricing with 30 days' advance notice. Existing subscriptions will be honored at the current price for the remainder of the billing cycle.

User Content and Intellectual Property

Your Content

You retain all ownership rights to the content you submit to our platform, including:

• Business ideas and hypotheses
• Market research and validation data
• Product specifications and requirements
• Customer information and ICPs

License to Us

By submitting content, you grant us a limited, non-exclusive, royalty-free license to:

• Process your content through our AI agents
• Store and display your content within our platform
• Generate insights, recommendations, and deliverables
• Use anonymized, aggregated data to improve our services

Important: We do not claim ownership of your business ideas, and we will not sell or share your proprietary information with competitors or third parties for their commercial use.

Platform IP

All rights, title, and interest in our platform, AI agents, algorithms, branding, and technology remain our exclusive property. You may not:

• Copy, modify, or reverse engineer our platform
• Use our AI models for competing services
• Extract or scrape data from our platform
• Remove or alter our branding or proprietary notices

Acceptable Use Policy

You agree NOT to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Submit false, misleading, or fraudulent information
• Harass, abuse, or harm others
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use our platform for illegal activities or unethical business practices
• Spam, phish, or send unsolicited communications
• Resell or redistribute our services without authorization
• Use automated tools (bots, scrapers) without permission

Violation of this policy may result in immediate account suspension or termination.

AI-Generated Content and Disclaimers

Our AI agents provide insights, recommendations, and guidance based on data analysis. However:

• No Guarantees: AI-generated insights are probabilistic and not guaranteed to be accurate or successful
• Not Professional Advice: Our services do not constitute legal, financial, or professional consulting advice
• Your Responsibility: You are solely responsible for business decisions made based on our insights
• Validation Required: All AI outputs should be independently verified and validated
• Market Uncertainty: Market conditions change, and past validation does not guarantee future success

Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for third-party services, content, or actions
• We do not guarantee uninterrupted, secure, or error-free service

Indemnification

You agree to indemnify, defend, and hold harmless Cubex Labs and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or business activities

Service Availability and Modifications

We strive to provide reliable services but:

• We may modify, suspend, or discontinue services at any time
• Scheduled maintenance may cause temporary interruptions
• We may update features, pricing, or terms with reasonable notice
• Some services may be in beta or experimental phases

Data Protection and Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using our Services, you consent to our data practices as described in the Privacy Policy.

Termination

By You: You may terminate your account at any time by contacting support or using account settings.

By Us: We may suspend or terminate your access immediately if:

• You violate these Terms or our policies
• You fail to pay fees when due
• Your use poses security or legal risks
• We discontinue services to all users

Effect of Termination: Upon termination, your access will cease, and we may delete your data according to our retention policies. Sections of these Terms that should survive (payment obligations, IP rights, disclaimers, limitations) will remain in effect.

Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or our Services shall be resolved through:

• Good faith negotiation between the parties
• Binding arbitration if negotiation fails (in accordance with the American Arbitration Association rules)
• Arbitration shall take place in New Mexico, USA

Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cubex Labs.

Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notification. Continued use after changes constitutes acceptance.
